Terms of Service
Draft — pending review by counsel. Structure and substance reflect how the product actually works; the final wording, and every marked fact below, ships before the first paid exhibit.
These Terms of Service are an agreement between you and REPLACE_ME_LEGAL_ENTITY_NAME, a REPLACE_ME_ENTITY_TYPE organized under the laws of REPLACE_ME_STATE_OF_FORMATION ("we," "us," or "the Company"), operating Vectra.
What Vectra is
Vectra generates right-of-way parcel exhibits — PDF exhibits, KMZ files, shapefiles, and computed acreage/footage/count tables — from geospatial data you upload. It is a drafting and computation tool, not a surveying service.
Exhibits are not survey products
Deliverables generated by Vectra are not surveys, are not sealed by a licensed professional, and must not be used for construction, conveyance, or recording. Exhibits are prepared from data you supply, for negotiation and planning use only. This is a condition of use, not a formality: you are responsible for review of every deliverable by an appropriately licensed professional before any regulated use.
Your data, your responsibility for it
You retain ownership of everything you upload. You represent that you have the right to upload it. Computed results are derived from your data: errors in the input produce errors in the output, and Vectra surfaces — but cannot always detect — data problems. Warnings shown on a job page are part of the deliverable.
Accounts and acceptable use
Accounts belong to your organization; keep credentials confidential. No attempting to access another organization's data, probing the service, reselling access, or uploading content you lack rights to.
Fees
Paid plans are billed as described on the pricing page at the time of purchase: a platform subscription for access, plus a production fee charged for each plat we deliver. That fee depends on the plat's type and on whether the finished plat runs to more than one sheet, which is known only once it is delivered. Re-runs, re-downloads and revisions of a project we have already delivered carry no further production fee. Fees are non-refundable except where required by law or expressly agreed.
Retention and deletion
Once a project has been delivered, its generated files and uploads are retained for the window stated for the plan in force when it was delivered, measured from your most recent activity on that project rather than from its first delivery, then deleted from our servers. That window is fixed at delivery: a later change of plan applies to work delivered after it, and never shortens a window already promised. Continuing to work on a project extends its retention; merely downloading files you already have does not. Work that is never delivered in full — an abandoned upload, a run that fails, or a preview not taken on to a full run — is kept for up to 90 days from your last activity on it instead, or your current plan's window where that is shorter. Records of your account and billing history persist after file deletion.
Warranty disclaimer and limitation of liability
The service is provided "as is" without warranty of any kind. To the maximum extent permitted by law, our total liability for any claim arising from the service is limited to the fees you paid in the twelve months preceding the claim, and we are not liable for indirect or consequential damages — including damages arising from use of a deliverable contrary to the "not a survey product" section above.
Ownership
The Vectra software, engine, templates, and branding are ours; using the service does not transfer any of that to you. What you retain is defined in "Your data, your responsibility for it" above.
Governing law and disputes
These terms are governed by the laws of REPLACE_ME_GOVERNING_LAW_STATE, without regard to conflict-of-laws principles. REPLACE_ME_DISPUTE_MECHANISM — counsel's call, not drafted here: litigation in a named venue and mandatory arbitration carry different tradeoffs for a B2B SaaS product and shouldn't be picked by default.
Notices
Legal notices to us under these terms must be sent to REPLACE_ME_LEGAL_NOTICE_ADDRESS. Notices to you go to the email address on your account.

Changes
We may update these terms. When a change is material you will be asked to review and accept the new revision the next time you use the service; continuing to use the service after accepting is acceptance of that revision.
